Full Time Contract Administrator
SALARY $78,000 + SUPERANNUATION
Role Summary
The Contract Administrator is responsible for preparing, interpreting, maintaining, reviewing, and negotiating contracts and contract variations on behalf of Paire Pty Ltd. The role ensures that all supplier, logistics, retail, agency, and service agreements are commercially sound, legally compliant, and aligned with the company’s operational and strategic objectives.
Key Responsibilities
1. Contract Development & Cross-Border Negotiation
• Draft, review and negotiate domestic and international contracts, including:
o Manufacturing agreements with factories in China
o Third-party warehousing and distribution agreements (including Shanghai-based warehouse operations)
o International logistics and freight contracts
o Supplier, agency, technology and service agreements
o Retail lease and pop-up agreements (Australia)
• Ensure contracts clearly define production standards, quality control, Incoterms, delivery schedules, payment mechanisms, dispute resolution forums and governing law.
• Manage contract variations, renewals, extensions and terminations across jurisdictions.
• Support management with negotiation strategy in cross-border commercial arrangements.
2. Dual-Jurisdiction Compliance & Legal Governance
• Ensure contracts comply with relevant Australian legislation (including Australian Consumer Law, Corporations Act, Privacy Act, WHS and retail lease laws).
• Review contractual arrangements involving China to ensure alignment with applicable PRC commercial and trade requirements (in consultation with external advisors where required).
• Address cross-border legal considerations including governing law, jurisdiction clauses, enforcement, customs compliance and export documentation requirements.
• Maintain adherence to internal policies and delegated authority frameworks.
• Manage version control, approvals and execution processes for domestic and international agreements.
3. Insurance & Commercial Risk Management
• Review insurance obligations across international supply chain contracts, including public liability, product liability, marine cargo, professional indemnity and workers compensation coverage.
• Assess cross-border commercial risk including:
o Indemnities and limitation of liability
o Currency exposure and payment risk
o Delivery risk and transfer of title
o Penalties, termination rights and exclusivity provisions
• Provide structured written risk assessments and recommendations prior to execution.
4. Contract Administration & Supply Chain Oversight
• Maintain a central contract register covering Australian and international agreements.
• Monitor key dates, production milestones, warehouse service levels and notice periods.
• Oversee documentation of variations, work orders and performance deviations.
• Monitor performance of Chinese manufacturing partners and Shanghai warehouse provider against contractual KPIs.
• Prepare summary reports on supply chain contractual performance and risk exposure.
5. Dispute Resolution & Stakeholder Liaison
• Respond to internal contract-related queries across operations, finance, retail and supply chain teams.
• Liaise with overseas suppliers, warehouse providers and logistics partners to clarify contractual obligations.
• Assist in resolving cross-border contractual disputes, claims and performance issues.
• Escalate significant legal, operational or financial risks to management.
6. Reporting & Governance Support
• Prepare contract status and risk reports for executive review.
• Support documentation for external audits, compliance reviews and regulatory reporting where required.
• Contribute to commercial documentation relating to international trade and supply chain operations.
Required Skills
• Demonstrated experience in contract optimisation, negotiation and review.
• Demonstrated experience in contract administration, commercial law and procurement.
• Demonstrated experience in IP protection and compliance.
• Understanding of commercial contract and compliance frameworks.
• Understanding of dispute resolutions.
• Understanding of legal requirements in both China and Australian jurisdictions.
• Proven ability to negotiate supplier and service agreements.
• Experience managing contract registers and renewal systems.
• Ability to analyse contractual risk and provide structured recommendations.
• High level of written communication and documentation skills.
Desirable
• Experience in retail, fashion, apparel or e-commerce or manufacturing industries.
• Experience dealing with international supply chain contracts.
• Familiarity with sustainable product supply frameworks.
• Bachelor or Master of Laws degree holder is preferred.
